The purchase of a SCUR24 shelf company is a simple, quick and efficient process:

2. Preparation of notarization

The purchase of a small business start-up company (UG), limited liability company (GmbH) and a limited partnership (UG & Co. KG and GmbH & Co. KG) requires a notarized share and transfer agreement. The preparation for completion of the notarization procedure, namely, the finalization of the sales and purchase agreement on the basis of our draft provided, can be undertaken by your lawyer, a notary public or (upon request) by SCUR24. We would simply require from you the details of the new managing director and the purchaser(s). We will agree the full documentation package for the purchase with you by e-mail correspondence in advance of the notarization.

3. Payment of purchase price to be guaranteed

The purchase of a shelf company becomes immediately legally effective once the share and transfer agreement is notarized. Therefore, the payment of the purchase price must be guaranteed at that time as well. Once you acquire a shelf company your new management will have immediate access to the share capital that has been fully paid in.

With this in mind, we can offer you the following options to guarantee the payment of the purchase price:

  • Prepayment of the purchase price
    (Note: In case of a prepayment of the purchase price we will offer you a discount on the normal purchase price for a shelf company)
  • Payment of the purchase price into a lawyer’s or notary’s escrow account prior to notarization of the sales and purchase agreement
    (Note: generally, the use of escrow accounts will lead to additional costs)
  • A guarantee regarding the payment of the purchase price from a lawyer or notary public
    (Comfort letter for payment of the purchase price)

Once the payment of the purchase price has been guaranteed, you will receive an original copy of a SCUR24 power of attorney in its capacity as seller which will authorise you immediately to proceed to notarization. On request we can send the power of attorney directly to a notary public of your choice.
